Cloned Academy Terms of Membership
Effective date: November 2, 2026
These Terms are a binding agreement between you and Ri Michelle Branding Co, a Georgia company doing business as Cloned Academy ("Cloned Academy," "we," "us"). They govern your use of the Cloned Academy website, member portal, live classes, community, and all related content and services (together, the "Academy"). Section 18 requires most disputes to be resolved by individual binding arbitration and waives class actions. Section 6 states that all fees are non-refundable.
1. Agreement to these Terms
By purchasing a membership, creating an account, accessing the portal, attending a live session, or otherwise using the Academy, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, do not use the Academy.
We may update these Terms from time to time. If we make a material change, we will notify you by email or in the portal at least 14 days before it takes effect. Your continued use of the Academy after the effective date means you accept the updated Terms. Changes will not apply retroactively to disputes that arose before the change.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Academy. The Academy is designed for business owners and professionals who use it to build their own businesses. You agree that the information you give us is accurate and that you will keep it current.
3. The Membership
Membership plans. We offer Monthly, Annual and Lifetime memberships, and we may include a complimentary membership with other purchases. Every plan includes the core Academy access described in this section, except where a benefit is marked for specific plans. Lifetime memberships also include the Lifetime benefits described on our website at the time of purchase. We may update Lifetime benefits, but we will not remove one without replacing it with a benefit of comparable value.
A Cloned Academy membership gives you access, while your membership is active and in good standing, to the following, as we offer them from time to time:
- Weekly live classes on Zoom, on the dates and times posted on the portal Calendar
- The Classroom, including Start Here lessons, class replays and trainings
- The private member community
- The Monthly Clone Focus
- Templates and prompt packs
- Clone Audits (Annual and Lifetime memberships), subject to availability, scheduling and the request process we publish in the portal
We continually improve the Academy. We may add, change, reschedule, pause or retire any content, feature, session, format, faculty member or tool at any time. Live sessions may be moved, cancelled or replaced with a recording when needed. These changes do not entitle you to a refund or credit. We do not promise that any particular content, feature or person will remain available for the length of your membership.
The Academy is educational. It is not one-on-one consulting, coaching, or a done-for-you service, and no professional relationship (such as legal, financial, accounting or tax advisor) is created.
4. Your Account
Your membership is for one person only. You must create your account with the email address you purchased with (or registered with, for complimentary memberships). You may not share your login, transfer your membership, or let anyone else access the Academy through your account. You are responsible for keeping your password secure and for all activity under your account. Tell us right away at hello@clonedacademy.com if you believe your account has been accessed without permission.
We may suspend or end access for any account we reasonably believe is shared, resold, or used in violation of these Terms, without a refund.
5. Fees, Automatic Renewal and Cancellation
Price. Memberships cost $97 per month (Monthly), $397 per year (Annual) or a one-time $797 (Lifetime), plus any applicable taxes, unless a different price is shown to you at checkout. Payments are processed by our third-party payment processor; we do not store your full card number.
Automatic renewal (Monthly and Annual). MONTHLY AND ANNUAL MEMBERSHIPS RENEW AUTOMATICALLY AT THE END OF EACH MONTH OR YEAR UNTIL YOU CANCEL. By completing checkout and agreeing to these Terms, you authorize us to charge your payment method on file the then-current price for your plan, plus applicable taxes, at the start of each new month (Monthly) or on each yearly anniversary of your purchase date (Annual), until you cancel.
Renewal reminder. For Annual memberships, we will email you a reminder before each renewal, at least 15 and no more than 45 days before the renewal date, stating the renewal date, the amount that will be charged, and how to cancel.
How to cancel. You may cancel a Monthly or Annual membership at any time, online, by emailing hello@clonedacademy.com from your account email with the subject "Cancel my membership," or by using any cancellation link or option we provide in the portal or in our emails. Cancellation stops the next renewal. You keep access until the end of the month or year you have already paid for. We will confirm your cancellation by email.
Price changes. We may change membership prices. For Monthly and Annual memberships, any change will apply only at your next renewal, and we will notify you at least 30 days before it takes effect so you can cancel first. Lifetime members are never charged again for their Lifetime membership.
Failed payments. If a renewal payment fails, we may retry your payment method and may suspend your access until payment is received.
Chargebacks. If you have a billing concern, please contact us first so we can help. If you file a chargeback or payment dispute for a charge that was authorized under these Terms, we may suspend or end your access and may recover the amount owed, plus any related fees, as permitted by law.
Complimentary memberships. Memberships included with another purchase (for example, the one-year membership included with a VIP ticket to The Clone Conference) last for the period stated in that offer, starting when access is granted. They do not renew automatically and will not be charged unless you choose to purchase a paid membership.
Lifetime membership. A Lifetime membership is a one-time purchase that gives you access to Cloned Academy for as long as Ri Michelle Branding Co operates Cloned Academy or a successor membership program it designates. "Lifetime" refers to the lifetime of the program, not your lifetime or ours. Lifetime memberships do not renew, are personal to you, and cannot be transferred, shared or resold. If we decide to permanently close the Academy, we will give Lifetime members at least 90 days' notice. If the closure takes effect within 36 months after your Lifetime purchase date, we will refund a prorated portion of the Lifetime fee you paid: that fee divided by 36, multiplied by the number of full months remaining in that 36-month period. After 36 months, no refund is owed on closure. A Lifetime membership ended because of your breach of these Terms is not eligible for any refund.
One-time purchases. We may offer individual trainings or resources for a one-time fee (for example, the Content Clone System training and Playbook for Monthly members). A one-time purchase gives you access to that item only, for as long as your Cloned Academy membership remains active. If your membership ends, your access to the item ends, and it is restored if you rejoin. One-time purchases do not change your membership plan, do not renew, and are non-refundable.
6. No Refunds
You receive immediate access to digital content when your membership begins. ALL FEES ARE NON-REFUNDABLE. We do not offer refunds or credits for any reason, including partial months or years, unused time, missed live sessions, content you did not access, dissatisfaction, or cancellation after a renewal has been charged. The only exceptions are the closure refunds described in Sections 5 and 14, and any right to a refund that cannot be waived under applicable law.
7. Our Content and Intellectual Property
All Academy materials, including lessons, live and recorded sessions, slides, workbooks, the Welcome Book, templates, prompt packs, frameworks, methods, Zoom backgrounds, graphics, names, logos, the Cloned Academy crest and trademarks ("Academy Content"), are owned by us or our licensors and are protected by copyright, trademark and other laws.
While your membership is active, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Academy Content to build and run your own business. You may use templates and prompts to create content for your own business, and you own the content you create with them.
You may not, without our prior written permission:
- copy, download (except where we provide a download button), record, screenshot for distribution, share, resell, sublicense or publish Academy Content;
- share recordings, links, files or login access with anyone who is not a member;
- teach, package or sell Academy Content, or anything substantially similar to it, as your own course, membership, coaching program, template pack or service;
- upload Academy Content into any AI tool, dataset or system to train or build a model, product or service, or to create a competing product;
- scrape, crawl or use automated tools to access the portal; or
- remove copyright, trademark or other notices.
All rights not expressly granted are reserved. Your license ends when your membership ends or is terminated.
8. Your Content
You keep ownership of what you post in the Academy, such as your profile, posts, comments, images, videos and links ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce and share Your Content within the Academy to operate and improve it, for as long as it remains in the Academy and for a reasonable period afterward for backups and records.
We will ask for your permission before we use your name, image, likeness, story or results in public marketing outside the Academy. If you give permission, you confirm that what you share is true and reflects your real experience.
You are responsible for Your Content. You confirm that you have all rights needed to post it, and that it does not infringe anyone's rights or violate any law or these Terms. Do not post confidential information you do not want other members to see. If you send us ideas or feedback, we may use them without any obligation to you.
9. Your Likeness, Your Clone and AI-Generated Content
The Academy teaches you to create and use a Content Clone: AI-generated images, video, voice and text based on your own likeness, voice and brand. You agree that:
- you will clone only yourself, or a person who has given you clear written permission to use their name, image, likeness and voice for that purpose;
- you will not use any technique taught in the Academy to impersonate, deceive, defame or harass anyone, to create sexual or intimate content of a real person, or to mislead people about who is speaking or what is real;
- you will follow the rules of the tools and platforms you use, including any requirement to label AI-generated or synthetic content, and all laws that apply to your advertising and content (including truth-in-advertising, endorsement and disclosure rules);
- AI tools can produce inaccurate, incomplete, biased or unexpected output, and you are solely responsible for reviewing, approving and publishing anything you create, and for any results or claims connected to it; and
- the images, voice samples, scripts and other materials you upload to third-party tools are governed by those tools' terms and privacy policies, not ours.
10. Third-Party Tools and Services
The Academy teaches and refers to third-party tools, such as AI image, video and voice platforms, AI assistants, Zoom, and CRM and payment platforms. These tools are provided by independent companies. Your use of them requires your own accounts, is governed by their own terms, pricing and privacy policies, and may cost money (including credits or subscriptions) that is not included in your membership.
We do not control third-party tools and are not responsible for their availability, features, pricing, outages, policy changes, data handling or output. A tool changing or discontinuing a feature is not a defect in the Academy. Unless we say so in writing, we are not affiliated with or endorsed by any tool we mention.
Some links or recommendations may be affiliate or partner links, which means we may earn a commission or receive a benefit if you buy through them, at no extra cost to you. We only recommend tools we use or believe are useful.
11. No Guarantee of Results
We do not guarantee any particular income, revenue, followers, engagement, leads, sales, time savings or other result. Any examples, stories, wins or results shared by us or by members are not typical, are not a promise of what you will achieve, and reflect each person's own effort, experience, business, market and circumstances. Your results depend on many factors outside our control, including your own effort and decisions.
The Academy is for education and general information only. Nothing in it is legal, financial, tax, accounting or other professional advice. Consult a qualified professional about your specific situation.
12. Live Sessions and Recordings
Live classes, orientation, office hours and other sessions may be recorded. By attending, you consent to the recording of your name, image, voice, video, chat messages and anything else you share, and to our use of those recordings within the Academy, including posting replays for members. Turning your camera on and speaking are optional. You may not record, stream or share live sessions yourself.
We will not use a recording in which you appear in public marketing outside the Academy without your permission.
13. Community Rules
The community works because members trust one another. You agree not to:
- harass, threaten, bully, demean or discriminate against anyone;
- post hateful, sexually explicit, violent, defamatory or illegal content;
- share another member's personal information, private messages, content or results outside the Academy without their permission;
- spam, solicit, recruit for other programs or networks, or pitch your products and services outside the areas we designate;
- impersonate anyone, misrepresent your identity or results, or post misleading claims;
- post content that infringes anyone's intellectual property or privacy rights;
- upload malware, attempt to access accounts or areas you are not authorized to access, or interfere with the portal; or
- use the Academy for any unlawful purpose.
We may, in our sole discretion and without notice, remove or edit any content, limit features, or suspend or end any membership for conduct we believe violates these rules or harms the Academy or its members. We are not obligated to monitor content and are not responsible for content posted by members.
14. Suspension and Termination
You may end your membership at any time as described in Section 5. We may suspend or end your access, with or without notice, if you breach these Terms, fail to pay, file an unauthorized chargeback, share your account, misuse Academy Content, or act in a way we reasonably believe harms the Academy, its members, or us. If we end your membership for any of these reasons, you will not receive a refund. We may also discontinue the Academy entirely. If we do so without cause, we will give you at least 90 days' notice and, for Monthly and Annual memberships, a prorated refund for the unused, prepaid portion of your current month or year; Lifetime memberships are refunded only as described in Section 5.
When your membership ends, your license to Academy Content ends and you must stop using it, except for content you created for your own business using templates and prompts. Sections 6 through 11 and 14 through 22 survive termination.
15. Disclaimers
THE ACADEMY AND ALL ACADEMY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ACADEMY WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT CONTENT IS ACCURATE OR CURRENT, OR THAT ANY THIRD-PARTY TOOL WILL WORK AS DESCRIBED.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RI MICHELLE BRANDING CO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, FACULTY, PARTNERS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE ACADEMY, ACADEMY CONTENT, THIRD-PARTY TOOLS, MEMBER CONTENT, OR CONTENT YOU CREATE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE ACADEMY WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE ACADEMY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
17. Indemnification
You agree to defend, indemnify and hold harmless Ri Michelle Branding Co and its owners, officers, employees, contractors, faculty, partners and agents from any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to: Your Content; content, clones, advertising or claims you create or publish; your use of third-party tools; your violation of these Terms or of any law; or your violation of anyone else's rights, including rights of publicity, privacy or intellectual property.
18. Disputes, Arbitration and Class Action Waiver
Talk to us first. Before starting any formal claim, you agree to email hello@clonedacademy.com with a description of the issue and the outcome you want, and to try in good faith to resolve it with us for at least 30 days.
Binding individual arbitration. If we cannot resolve it, you and we agree that any dispute arising out of or relating to these Terms or the Academy will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will take place by video or phone where possible, or otherwise in the state of Georgia. The arbitrator may award the same individual relief a court could, and the arbitrator's decision is final and may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek a court order to stop infringement or misuse of intellectual property or confidential information.
Class action and jury waiver. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION OR ARBITRATION. Claims may be brought only on an individual basis.
Opt-out. You may opt out of this arbitration agreement by emailing hello@clonedacademy.com within 30 days after you first agree to these Terms, with your name, account email and a clear statement that you opt out of arbitration.
Governing law and venue. These Terms are governed by the laws of the State of Georgia and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. Any claim not subject to arbitration will be brought only in the state or federal courts located in Georgia, and you consent to their jurisdiction. Any claim must be brought within one year after it arises, to the extent permitted by law.
19. Communications, Email and Text Messages
You agree that we may send you transactional messages about your membership (such as receipts, renewal reminders, account and security notices, and class reminders) by email and, if you provided a mobile number, by text. With your consent, we may also send marketing messages by email and text, including automated texts. Consent to marketing texts is not a condition of purchase. Message frequency varies; message and data rates may apply. Reply STOP to stop texts and HELP for help. You can unsubscribe from marketing emails using the link in any email.
20. Copyright Complaints
If you believe content in the Academy infringes your copyright, email hello@clonedacademy.com with: your contact information; a description of the work; where the material appears; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the material and end the accounts of repeat infringers.
21. General Terms
These Terms and our Privacy Policy, together with the terms of any offer you accepted at checkout, are the entire agreement between you and us about the Academy. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision will be modified to the minimum extent needed. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them, including in connection with a sale or reorganization of our business. We are not responsible for delays or failures caused by events beyond our reasonable control. Notices to you may be sent to your account email or posted in the portal.
